Terms of Service

These Terms of Service ("Terms") govern your use of the Spectral platform at runspectral.com (the "Service"), operated by SEF Ventures LLC (doing business as Spectral, "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Spectral is an AI agent optimization platform that analyzes, diagnoses, and improves the performance of large language model (LLM) agent systems. The Service processes agent prompts and configurations to generate diagnostic reports, failure analysis, and optimization recommendations.

2. Service Tiers

2.1 Free Diagnostic Tier

• Available at no cost for evaluation and diagnostic purposes.
• No service level agreement (SLA) — the Service is provided on a reasonable-efforts basis.
• No data guarantees — while we take reasonable measures to protect your data, the free tier does not include data durability or availability commitments.
• We reserve the right to impose usage limits, rate limits, or feature restrictions on the free tier at any time.

2.2 Design Partner Tier

• Available to select early partners by invitation.
• Uptime target: 99.5% monthly availability (excluding scheduled maintenance).
• Support: Email support with response within 24 hours during business days.
• Specific terms for design partners are governed by a separate written agreement.

3. Your Data & Intellectual Property

• You retain all ownership rights to the prompts, configurations, and data you upload to the Service.
• You grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service (analysis, diagnostics, and optimization).
• We do not claim ownership over your data or the diagnostic reports generated from your data.

4. Acceptable Use

You agree NOT to use the Service to:

• Upload, process, or store any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service.
• Interfere with or disrupt the Service, its servers, or connected networks.
• Use automated scripts, bots, or scrapers to access the Service beyond the provided API.
• Attempt to gain unauthorized access to other users' data or accounts.
• Resell, sublicense, or redistribute the Service without prior written consent.
• Use the Service to develop a competing product or service.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• Optimization recommendations will produce specific performance improvements.
• Diagnostic results will be complete or free from errors.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEF VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use of or inability to use the Service.
• Any changes made to your agent prompts or configurations based on our recommendations.
• Unauthorized access to or alteration of your data.
• Any other matter relating to the Service.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless SEF Ventures LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any content you upload to the Service.

8. Termination

• Either party may terminate this agreement with 30 days written notice to the other party.
• We may suspend or terminate your access immediately if you violate these Terms or the Acceptable Use policy.
• Upon termination, we will delete your data within 30 days, unless retention is required by law or you request earlier deletion.
• Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify active users.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of such courts.

11. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SEF Ventures LLC regarding the Service.
• Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
